Non-scheduled Shareholders Meeting gives OK to Launch!

With 104 shareholders present who represented 2'688 votes, and therefore held 73% of the voting rights, the new tourism attraction in the Bernese Oberland was completely supported. In the first step, the existing 2,000 registered shares (CHF50.00 each) and the 1,800 bearer shares (CHF500.00 each), will be converted into standard shares of CHF10.00 each. Thereafter, the share capital will be raised from 4.5 million Swiss Francs to 5.5 million Swiss Francs by issuing an additional 450,000 new bearer shares. The new shares will be acquired at the nominal price by WP-Handel AG. WP-Handel, a specialized brokerage and capital funds investment firm of the HelveticStar-Group, will offer the new shares to current investors at CHF 11.00 per share, in which case one hitherto owned share will yield 4.5 new shares. All remaining shares which have not been sold by the limited payment period of October 15, 1999, will be offered to further investors. The cost for the raise in capital will be financed through WP-Handel AG and taken from their premium.

With this procedure, the project immediately gains the necessary means for the continuing planning works, and therefore gains a 4-month advantage in the scheduled order of events. The grand opening is slated for 2002.
